Terms of Service

The agreement between you and Yangu Systems covering accounts, billing, IP, liability and dispute resolution.

1. Agreement and acceptance

These Terms of Service govern access to and use of Yangu Office and any related Yangu Systems software, websites, APIs and services (the "Services"). By creating an account or using the Services you agree to these terms on behalf of yourself and any organisation you represent.

If you do not agree, do not use the Services.

This document is a draft template. Every PLACEHOLDER must be completed and the full text reviewed by qualified legal counsel before it is relied upon.

2. User accounts

  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity that occurs under your account and for safeguarding credentials.
  • Accounts are for named users; credentials may not be shared or resold.
  • You must notify Yangu Systems promptly of any suspected unauthorised access.
  • Administrators of an organisation account may manage, suspend or remove member access.

3. Acceptable use

Use of the Services is subject to the Acceptable Use Policy, which forms part of these terms. Prohibited activity includes unlawful use, harassment, fraud, malware distribution, unauthorised access, reverse engineering and misuse of AI or simulation features.

4. Subscription and billing

  • Paid plans are billed in advance on the interval selected at purchase. PLACEHOLDER — pricing, currency and tax treatment.
  • Fees are non-refundable except where required by law or expressly stated in writing.
  • Plans renew automatically until cancelled; cancellation takes effect at the end of the current billing period.
  • Yangu Systems may change pricing with prior notice, effective at the next renewal.
  • Non-payment may result in suspension or downgrade of the account.

5. Intellectual property

Yangu Systems and its licensors retain all right, title and interest in the Services, including software, interface designs, office visualisations, digital employee artwork, prompts, documentation and branding. These terms grant a limited, revocable, non-exclusive, non-transferable licence to use the Services for internal business purposes.

You retain ownership of content you upload. You grant Yangu Systems the limited licence needed to host, process and display that content in order to operate the Services.

6. AI limitations

  • AI features generate probabilistic output that may be inaccurate, incomplete or out of date.
  • Output is informational support, not professional, legal, financial, medical or employment advice.
  • You are responsible for reviewing and verifying AI output before acting on it.
  • Yangu Systems does not warrant any specific business outcome from AI features.

7. User responsibilities

  • Maintain human oversight of automated and AI-assisted work.
  • Ensure you have the rights and lawful basis to upload the data you connect or import.
  • Comply with applicable laws, including data protection and employment law, in your use of the Services.
  • Keep your own records and backups of business-critical information.

8. Account suspension

Yangu Systems may suspend access where it reasonably believes there is a security risk, a violation of these terms or the Acceptable Use Policy, non-payment, or a legal requirement to do so. Where practical, notice and an opportunity to remedy will be provided.

9. Termination

  • You may terminate at any time from account settings or by written notice.
  • Yangu Systems may terminate for material breach that is not remedied, or on notice at the end of a billing period.
  • On termination, access ends and data is retained or deleted in line with the Privacy Policy.
  • Clauses that by nature survive termination — including IP, disclaimers, liability and governing law — continue to apply.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, or uninterrupted or error-free operation.

11. Limitation of liability

To the maximum extent permitted by law, Yangu Systems is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising from use of the Services or reliance on AI or simulation output.

12. Indemnification

You agree to indemnify and hold harmless Yangu Systems and its officers, employees and agents from claims, damages and reasonable costs arising from your content, your use of the Services, your breach of these terms, or your violation of law or third-party rights.

13. Governing law

These terms are governed by the laws of PLACEHOLDER — governing jurisdiction, without regard to conflict-of-law rules.

14. Dispute resolution

  • The parties will first attempt to resolve disputes in good faith within 30 days of written notice.

15. Changes and contact

Material changes to these terms will be communicated before they take effect. Continued use after the effective date constitutes acceptance.
